Private company shares and holding interests are illiquid by definition. There are no organized secondary markets. Transfers require notarial acts, shareholder approval and cap table updates — slow, costly and opaque processes. Tokenization does not change the underlying corporate rights. It makes them more efficient to transfer, more transparent to track and more accessible to new investors. The token is a digital representation of the existing share, not a replacement of the legal structure.

We work with founders and shareholders who want to create a secondary market without listing the company, holding companies managing multi-jurisdictional portfolios, private equity managers looking to offer liquidity to existing LPs or attract new investors, and international structures — particularly those with assets in Africa, Middle East and Asia — seeking access to European and institutional investor pools.
We start with a cap table analysis — reviewing the shareholder structure, drag-along and tag-along rights, pre-emption clauses and transfer restrictions to identify which interests are tokenizable without legal conflicts. We then design the legal wrapper: either a direct digital representation of the shares as DLT-based ledger rights under the Swiss DLT Act, or a participation in an SPV that holds the original shares.
The choice depends on the company's jurisdiction and the target investor base. We define the rights embedded in the token — voting rights, dividend rights, redemption clauses, lock-up periods and transferability conditions — and build on-chain KYC and AML compliance via whitelists or permissioned transfer modules.
Finally we deploy the smart contracts, integrate with the existing cap table system, and configure the investor onboarding process and secondary marketplace for qualified investors.
